Terms of Sale
These terms govern sales by United Distribution Group LLC unless a signed agreement says otherwise.
Quotations
Quotations are valid for the period stated on the quote, and for thirty (30) days where no period is stated. On goods sourced to order, the price may change if the supplier's price or the freight cost changes before the order is confirmed. If that happens we requote and you decide.
Payment
All sales are prepaid in full before shipment, by wire transfer, ACH or card. We do not offer open account terms at this time. Where a card surcharge applies and is permitted by law, it is quoted in advance rather than added afterwards; we do not surcharge debit cards.
Bank details and payment instructions
Our bank details never change by email. They appear on the invoice and nowhere else. If you receive a message that looks like it came from us asking you to send funds to a different account, or to update details you already hold, treat it as fraud and call (928) 231-0549 before you release anything. We confirm bank details by telephone, on a number you already have, and never by replying to the message that asked.
Delivery term
Our default term on an export is DAP, named place of destination, Incoterms 2020. We deliver the goods to the place named on the quotation, ready for unloading, and import clearance, duties and taxes at destination are yours. On a domestic sale the quotation may instead read F.O.B. our shipping point, in which case risk passes on delivery to the carrier. Whichever term applies to your order is written on its quotation.
Export filing
Where a shipment leaving the United States requires Electronic Export Information to be filed in the Automated Export System, we file it as the United States principal party in interest. A filing is generally required where the value of any one Schedule B commodity exceeds USD 2,500, and at any value where an export license is required. On a routed export transaction, where you appoint the forwarder, we furnish the filing data to your agent instead. The internal transaction number is written on the export documents.
Restricted party screening
Before we accept an order we screen the buyer, the consignee and the stated end user against the United States government Consolidated Screening List, and we check the destination against current sanctions. We do not ship where a party or a destination comes back restricted, and we do not proceed where the stated end use and the goods do not fit together.
Title and risk of loss
Unless the quotation states otherwise, we quote delivered to your address or to your nominated freight forwarder, and the quoted price includes the freight described in it. Title and risk of loss pass to the buyer on delivery to that address or forwarder. Where a quotation is instead issued F.O.B. our shipping point, that will be stated on its face and risk passes on delivery to the carrier.
Inspection and claims
Inspect goods on arrival. Notify us in writing of shortage, damage or non-conformity within ten (10) business days of receipt, the same window as a return request. Note visible damage on the bill of lading or carrier delivery record at the time of delivery: a claim without that notation is difficult to pursue against a carrier.
Cancellation
Orders for goods sourced to order cannot be canceled once the supplier order is placed. Orders for held stock may be canceled before shipment. A canceled order that has already been packed carries a restocking charge, stated at the time.
Customs, duties and taxes
On international shipments the buyer is the importer of record unless agreed otherwise in writing. Duties, taxes and customs charges at destination are the buyer's responsibility, and are quoted separately where we can estimate them. We are a distributor, not a licensed customs broker, and we do not file customs entries.
Export compliance
Buyer agrees not to export, re-export or transfer any goods in violation of United States export control or sanctions law, including to any restricted party or embargoed destination.
Limitation of liability
Our liability on any order is limited to the amount paid for the goods in question. We are not liable for indirect or consequential loss, including lost profit or downtime.
Governing law
These terms are governed by the laws of the State of Wyoming.
